Licensing Agreement between Coded Harmony and Client
This Agreement ("the Agreement") is a binding contract between Coded Harmony ("Licensor") and the Client ("Licensee") and governs the Licensee's use of the Business Management System solution ("the Software") provided by Coded Harmony.
By purchasing or using the Software, the Licensee acknowledges and agrees to the terms stipulated in this Agreement.
During the subscription term, Coded Harmony grants the Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software.
The Software is provided based on a subscription model. Payments are to be made monthly, yearly, or based on other agreed-upon terms. The subscription fee must be paid in advance before the end of the subscription term.
The subscription automatically renews at the end of each term unless cancelled by the Licensee.
Coded Harmony commits to providing regular updates to the Software based on necessity.
Coded Harmony shall strive to maintain the highest possible uptime for the Software but does not guarantee uninterrupted service.
Either party may terminate this Agreement by providing written notice. Upon termination, access to the Software will cease. Coded Harmony will retain the Licensee's data for the duration of the subscription term and will remain accessible free of charge for at least one month after the subscription ends. Post this period, the client may incur charges for continued data access.
The Licensee may not reverse-engineer, decompile, or disassemble the Software. The Software cannot be resold, transferred, or sublicensed without written consent from Coded Harmony.
Coded Harmony provides a support guide for all Licensees. Additionally, free or paid training is available depending on the type of subscription chosen by the Licensee.
This Agreement pertains solely to the Software provided by Coded Harmony. Third-party integrations or their performance are not governed by this Agreement.
Images provided within the Software by Coded Harmony can be freely used by the Licensee in connection with the Software but cannot be sold or redistributed as standalone items.
Any legal disputes arising from this Agreement shall be adjudicated in the courts of London, UK.
